1. Acceptance of terms
By accessing or using NearOps (“the platform”, “the service”), you agree to be bound by these Terms of Service (“Terms”) on behalf of yourself and any organisation you represent. If you do not agree to these Terms, you must not use the platform.
2. Description of service
NearOps provides a multi-tenant, white-label platform for field service businesses. Core features include online booking management, engineer dispatch and scheduling, optional Google Calendar synchronisation, payment processing via Stripe, payout tracking, and administrative reporting. Features may change over time.
3. Accounts and eligibility
- You must be at least 18 years old and legally capable of entering a binding agreement to use NearOps.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You must provide accurate and current information during registration and keep it updated.
- Organisation administrators are responsible for all users they invite or add to their organisation account.
4. Bookings and service contracts
Bookings made through an organisation’s NearOps booking page represent an agreement between the customer and that organisation. NearOps facilitates the booking workflow but is not a party to the underlying service contract and bears no responsibility for the quality, safety, or completion of the service rendered.
5. Payments
Payment processing is handled by Stripe. Organisations are responsible for ensuring their pricing, service descriptions, and applicable taxes are accurate and comply with local law. NearOps does not store card data. Disputes between customers and organisations regarding payments or refunds are governed by the organisation’s own policy and must be resolved between those parties.
6. Cancellations and refunds
Each organisation sets its own cancellation and refund policy, which must be communicated clearly to customers at the time of booking. NearOps is not responsible for enforcing, processing, or funding refunds.
7. Google Calendar integration
NearOps offers optional integration with Google Calendar. By connecting Google Calendar, you grant NearOps permission to read events from and write booking events to your selected calendar. You may revoke this access at any time from your account settings. Your use of the Google Calendar integration is also subject to Google’s Terms of Service. NearOps handles Google user data in accordance with our Privacy Policy and the Google API Services User Data Policy, including the Limited Use requirements.
8. Organisation responsibilities
- Ensuring services offered are accurately described and lawfully provided.
- Ensuring engineers are appropriately qualified, insured, and compliant with applicable law.
- Obtaining any necessary consents from customers and engineers for data processing activities.
- Configuring and maintaining their account settings, including cancellation policies and pricing.
9. Acceptable use
You agree not to use NearOps to:
- Violate any applicable law or regulation.
- Infringe the intellectual property, privacy, or other rights of any person.
- Transmit malware, spam, or any harmful or deceptive content.
- Attempt to gain unauthorised access to the platform or its underlying infrastructure.
- Scrape, reverse engineer, or resell the platform without written permission.
- Use the platform in any way that could impair its availability or performance for other users.
10. Intellectual property
NearOps and its licensors own all intellectual property rights in the platform, including software, design, and content. You are granted a limited, non-exclusive, non-transferable licence to use the platform for its intended purpose. Nothing in these Terms transfers ownership of any intellectual property to you.
11. Availability and service levels
NearOps targets high availability but does not guarantee uninterrupted or error-free service. Planned maintenance, unplanned outages, or third-party service disruptions (including Google APIs or Stripe) may temporarily affect availability. We will endeavour to provide advance notice of planned maintenance.
12. Limitation of liability
To the maximum extent permitted by applicable law, NearOps’ total liability arising from or relating to these Terms or the platform is limited to the fees paid by the applicable organisation in the three months immediately preceding the claim. NearOps is not liable for indirect, incidental, consequential, or punitive damages, or for loss of profits, data, or goodwill, even if advised of the possibility of such damages.
13. Indemnification
You agree to indemnify and hold NearOps, its affiliates, officers, and employees harmless from any claim, loss, or expense (including legal fees) arising from your use of the platform, your violation of these Terms, or your violation of any third-party rights.
14. Termination
Either party may terminate the agreement by providing reasonable written notice. NearOps may suspend or terminate an account immediately if a user breaches these Terms or engages in conduct harmful to the platform or other users. Upon termination, data export is available for a reasonable transition period on request.
15. Changes to these terms
NearOps may update these Terms from time to time. We will provide notice of material changes by email or an in-app notification. Continued use of the platform after updated Terms are posted constitutes acceptance of the revised Terms.
16. Governing law
These Terms are governed by the laws of England and Wales. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
